Vintage companies
Some buyers need a company with an older incorporation date. We sell vintage GmbHs and AGs only after checking the balance sheet, and we price them transparently: the shelf price of the same form plus CHF 1,200 per year of age.

A vintage company is a GmbH or AG incorporated several years ago. Buyers ask for one when a tender, a counterparty or an internal policy looks at the date of incorporation. An older date proves only that the legal entity has existed since then. It does not transfer a track record, references, licences or credit history to you.
Older companies are the risky category under Swiss law. Since 1 January 2025, the transfer of shares (Art. 684a CO) or GmbH quotas (Art. 787a CO) is void if the company has no business activity, no realisable assets and is over-indebted, all three at once. The commercial register may ask for the latest signed accounts and refuse the entry when it suspects such a case. For stamp duty, the Federal Administrative Court confirmed in February 2026 (A-5128/2024) that a majority change in an "economically liquidated" company counts as a new formation, with a 1% levy above a CHF 1,000,000 exemption.
| Age | GmbH (example) | AG (example) |
|---|---|---|
| Shelf (recent) | CHF 5,900 | CHF 9,900 |
| 5 years | CHF 11,900 | CHF 15,900 |
| 10 years | CHF 17,900 | CHF 21,900 |
All-in for the standard case, capital excluded (it stays in the company). The exact price is published for each company.
Not automatically. When ownership changes, the bank must identify the new beneficial owner again and may close the account. We prepare a complete KYC file and introduce you to banks, but no seller can promise a bank's decision.
No licence is sold with our companies. For FINMA-licensed asset managers and trustees, a new holder of a qualified participation needs prior FINMA approval, so a 'licensed company' cannot be handed over turnkey.
Do not count on it. Swiss tax practice generally disallows loss carry-forwards after such transactions. We do not sell companies on that basis.
The shelf price of the same legal form (CHF 5,900 for a GmbH, CHF 9,900 for an AG) plus CHF 1,200 per full year since incorporation, all-in for the standard case.
