What you buy with a Swiss AG

A Swiss AG has a minimum share capital of CHF 100,000, of which at least CHF 50,000 (and at least 20% of each share) must be paid in. With a ready-made AG this capital is already there and stays in the company as its equity. Registered shares are transferred by written assignment and an entry in the share register; the company's beneficial owners must be reported to the federal transparency register, which is not public.

Included in the all-in price

  • Share assignment and share register update
  • Board resolution approving the transfer where the articles restrict transfers
  • New board members and signatories, register filing
  • Notarised amendment of the articles for a new name, purpose or seat (standard case)
  • Transparency-register update
  • Signed accounts showing the capital intact, debt-enforcement extract

Points to know

The AG must always be represented by at least one person resident in Switzerland (Art. 718 para. 4 CO). Opting out of the audit now applies only from the next financial year and must be filed before it starts. And because a typical sale changes name, purpose, seat and board at the same time, the commercial register may ask for the current signed accounts: we deliver them with every company. See legality and compliance.

Frequently asked questions

How much does a ready-made AG cost?

From CHF 9,900 all-in for the standard case, plus the share capital (CHF 100,000 nominal, at least CHF 50,000 paid in) that stays in the company.

Are AG shareholders anonymous?

No. They are not listed in the public commercial register, but the company must report its beneficial owners to the federal transparency register (in force since 1 October 2026), and we identify every buyer.

Can I get an AG with a bank account already open?

As an option (+CHF 2,900), when available, and always subject to the bank's checks on the new owner: the bank may refuse or close the account.

AG or GmbH?

A GmbH needs less capital and is the most common form; an AG keeps owners out of the public register and transfers more simply. Our guide compares them; the right choice depends on your project.
