Why a GmbH?
The GmbH (limited liability company) accounted for about 40% of all new Swiss companies in 2024, ahead of sole proprietorships and far ahead of the AG. Its minimum capital is CHF 20,000, fully paid in, compared with CHF 100,000 (at least CHF 50,000 paid in) for an AG.
| GmbH | AG | |

How a GmbH quota transfer works
The assignment of GmbH quotas needs a written contract with prescribed content (company name and seat, parties, number and nominal value of the quotas, any additional obligations under the articles), dated and signed by hand. The members must approve the transfer unless the articles waive it. Because members are entered in the commercial register, every transfer is filed there with original documents. A notary is needed if the articles require a public deed or when the articles are amended, for example to change the name, purpose or seat. Our all-in price covers this standard case.

Frequently asked questions
How much does a ready-made GmbH cost?
From CHF 5,900 all-in for the standard case, plus the CHF 20,000 capital, which stays in the company as equity.
Will my name appear publicly?
Yes. GmbH members are entered in the public commercial register. If you prefer your ownership not to be public, consider an AG; its beneficial owners are reported only to the non-public transparency register.
Is a GmbH cheaper to form than to buy?
Yes: we form a new GmbH from CHF 1,290 all-in. Buying saves the formation time and the capital deposit account step. See form or buy.
Can a foreigner own 100% of a Swiss GmbH?
Yes, there is no nationality requirement for members. At least one person resident in Switzerland must be able to represent the company (Art. 814 para. 3 CO).
