Partnerships
General and limited partnerships in Switzerland
Two or more people working together can form a general partnership (Kollektivgesellschaft, société en nom collectif) or a limited partnership. We draft the partnership agreement and file the register entry on request, from CHF 990.
Liability is the key difference
In a general partnership all partners are personally liable for the partnership's debts. In a limited partnership at least one partner has unlimited liability, while limited partners are liable only up to their registered contribution. Neither form has a minimum capital. A written partnership agreement is strongly recommended even when the law does not require one, because without it the default rules apply.
A "simple partnership" (einfache Gesellschaft, société simple) can arise without any formality when people pursue a common goal together; it is not a company in the register and partners are personally liable.
