Sole proprietorship
Sole proprietorship in Switzerland: simple start, personal liability
The sole proprietorship (Einzelfirma / raison individuelle) is the simplest way to work on your own account. We handle the commercial register entry from CHF 190 plus official fees.
What to know before you start
- No minimum capital and no notary: the business is you.
- Unlimited personal liability: your private assets answer for business debts.
- Commercial register: entry becomes mandatory from a turnover threshold set in the Commercial Register Ordinance, and is possible voluntarily before.
- Social security and VAT: as a self-employed person you register with your compensation fund; VAT registration depends on your turnover.
Sole proprietorship or GmbH?
About a third of new Swiss businesses start as sole proprietorships. When liability, credibility with clients or bringing in partners matters, a GmbH is often the next step; it needs CHF 20,000 capital. We form it from CHF 1,290 all-in, or you can buy a ready-made GmbH.
